Proposal to amend the constitution
1 Introduction
Strings Attached was formally established as a charity in November 2011 since when it has been governed by the model constitution provided by the Charity Commission for small charities with an annual income under £5,000, that neither own property nor employ staff, and who do not wish to register with the Charity Commission.
When the charity was formed, the founding trustees opted to require at least ten members to be present at the Annual General Meeting. At that stage, we were unsure how many people would become members (“Friends” as we term them) and there was a degree of guesswork in determining an appropriate quorum for an AGM. The committee thought we should anticipate that ten people was likely to be approximately 10% of our total membership. Achieving this attendance has not been problematic thus far. However, now that our membership numbers have stabilised – currently we have 83 Friends – and the practical arrangements for our AGMs have had to change, the committee believes that our quoracy rules should be changed to enable responsiveness to a potentially changing level of membership.
